The content on this Site, including but not limited to the AI Alpha Deal Analyzer, market insights, blog posts, and property metrics, is provided for educational and informational purposes only. We are not registered investment advisors, broker-dealers, CPAs, or attorneys. Nothing on this Site constitutes financial, investment, tax, or legal advice. All real estate investments carry inherent risks, including the total loss of principal. 3. Intellectual Property Rights
Unless otherwise indicated, the Site and its original content, features, and functionality—including but not limited to the AI Alpha Deal Analyzer software, source code, databases, functionality, website design, audio, video, text, photographs, and graphics (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”)—are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States.
You may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, reverse-engineer, or otherwise exploit for any commercial purpose whatsoever any part of the Site, the Content, or the Marks without our express prior written permission.
4. User Representations and Account Registration

You have the legal capacity and agree to comply with these Terms and Conditions.
You are not a minor in the jurisdiction in which you reside (you must be at least 18 years of age).
All registration information you submit (for the Investor Portal, shop, or software tools) will be true, accurate, current, and complete.
You will maintain the accuracy of such information and promptly update such registration information as necessary.
You will not access the Site through automated or non-human means, whether through a bot, script, or otherwise.
If you register for an account, you are responsible for keeping your password confidential and will be responsible for all use of your account and password.
5. Purchases, Subscriptions, and Payment
We may offer products, services, or software subscriptions (such as access to the AI Alpha Deal Analyzer) for purchase through the Site.
Billing: We use third-party payment processors to bill you through a payment account linked to your account on the Site. By initiating a purchase, you agree to pay all charges at the prices then in effect, and you authorize us to charge your chosen payment provider.

7. Investor Portal and Syndication Opportunities
Access to specific investment opportunities through the Investor Portal may be strictly limited to individuals who qualify as "Accredited Investors" or "Sophisticated Investors" as defined by Rule 501 of Regulation D of the Securities Act of 1933. We reserve the right to request documentation to verify your status prior to granting access to these specific offerings.
8. Disclaimer of Warranties
THE SITE, INCLUDING THE AI ALPHA DEAL ANALYZER, IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 9. Limitation of Liability

10. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Site; (2) breach of these Terms and Conditions; (3) any breach of your representations and warranties set forth in these Terms and Conditions; or (4) your violation of the rights of a third party.
11. Governing Law and Dispute Resolution
These Terms and Conditions and your use of the Site are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in New Jersey, and the parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.
